Electronic Signature and Records Consent
This consent is provided under the federal Electronic Signatures in Global and National Commerce Act (ESIGN) and the Uniform Electronic Transactions Act (UETA). Please read it before you sign anything electronically in Common Ridge. You will be asked to accept it before your first signature, and a record of your acceptance, including the version and a hash of its text, is kept.
1. What this covers
By accepting, you agree that Common Ridge, Common Ridge LLC, and the fund managers whose documents you sign through the service, may provide to you electronically, and that you may sign electronically, documents and records related to your investments. These can include:
- subscription agreements, questionnaires, side letters and amendments;
- capital call and distribution notices, account statements and reports;
- tax forms and tax documents, such as Forms W-9 and W-8 and Schedules K-1, where you separately consent to electronic delivery;
- disclosures, privacy notices and other communications required by law or by your agreements.
2. Your electronic signature
You agree that your electronic signature, whether typed, drawn or uploaded, is the legal equivalent of your handwritten signature, and that you adopt it as your signature when you apply it to a document. You will be asked to confirm each time you sign. Before you sign, the service confirms it is you by your signed-in session and a one-time code sent to your email address.
3. Hardware and software requirements
To access and keep electronic records you need:
- a device, such as a phone, tablet or computer, with a connection to the internet;
- a current version of a supported web browser, as listed on the Unsupported browser page of the service, with JavaScript and cookies enabled;
- software that opens PDF files, which can be your browser's built-in viewer or a PDF reader;
- an email address that you can access and that can receive messages from Common Ridge;
- enough storage, or a printer, to save or print records.
We may change these requirements. If a change creates a material risk that you will not be able to access a record, we will tell you and you may withdraw your consent without charge.
4. Your right to a paper copy
You have the right to receive any record in paper form. To request a paper copy, contact the fund manager that issued the record, or write to support@commonridge.com with the record name and your mailing address. [Counsel to confirm: whether a fee applies. By default we do not charge a fee.] You may also download and print any record yourself at any time, for as long as it is available in the service.
5. Your right to withdraw consent
You may withdraw this consent at any time. To do so, write to support@commonridge.com and to the fund manager concerned, stating that you withdraw your consent to electronic records and signatures. Withdrawal does not affect the validity of anything you signed or received before the withdrawal takes effect.
If you withdraw, you may not be able to complete transactions that need electronic signature or delivery, and the fund manager may deliver records on paper instead, which may delay a transaction. [Counsel to confirm: any fee or consequence that a fund manager may impose.]
6. Keeping your contact information current
You must keep your email address and mailing address up to date in your account settings. Changing your email address requires verification and we notify the previous address. If we cannot deliver a record by email, we may deliver it another way.
7. How to get copies of records
Signed documents and completed envelopes, with a Certificate of Completion, are saved to your Documents in the service. You can view, download and print them while you have access. Each completed document can be checked on our public verification page by its envelope ID, which does not display personal information.
8. Your acknowledgement
By selecting "I agree and consent," you confirm that:
- you have read this consent and can access the records it describes in the way described;
- you consent to use electronic records and electronic signatures for these transactions;
- you may withdraw consent and request paper copies as described above.
