Investor Terms of Use

Draft, pending counsel review. This document is a working draft. It has not been reviewed by counsel and is not yet in effect.

These terms apply when you sign in to Common Ridge to view or act on your holdings in funds that use the service. Common Ridge is provided by Common Ridge LLC ("we", "us"). The fund manager, not us, is responsible for the fund, its offering documents and the information it publishes to you.

1. What the service is

The service shows information that fund managers publish about your investments and lets you complete actions they request, such as signing documents, linking a bank account and paying a capital call. We are a software provider. We do not offer, sell or recommend any investment. Nothing in the service is investment, legal or tax advice.

2. Your account

You sign in with a passkey, an emailed link, your Google account or an authenticator app. There are no passwords. You are responsible for the devices and email accounts you use to sign in, and for keeping them secure. Tell us promptly at support@commonridge.com if you think someone else has access.

Some actions need a fresh verification, such as viewing bank details, signing and downloading tax documents. You must complete it yourself.

3. One identity, many funds

You have one account that can show holdings with several fund managers. Each manager sees only the information about you that relates to its own funds. When you open a manager's branded portal, you may see a prompt that you hold investments with others. We do not tell any manager about your holdings with another.

4. Access for others

You may give another person, such as a CPA or an advisor, read access to some of your information through a delegate role. You decide the scope and the end date, and you can revoke it. You are responsible for the actions of your delegates.

5. Electronic records and signatures

Signing and receiving records electronically is governed by the Electronic Signature and Records Consent. Authorizing payments is governed by the ACH Authorization.

6. Use of the service

Use the service only for your own holdings or those you are authorized to manage. Do not attempt to access another person's information, disrupt the service, scrape it, or test its security without following our vulnerability disclosure policy.

7. Accuracy

Values shown, such as balances and performance, are produced from records the fund manager keeps. Estimates are labeled as estimates. Contact the fund manager with questions about the content of a document or a number.

8. Privacy

Our Privacy Policy explains how we handle personal information.

9. Changes and ending

We may update these terms and will tell you about material changes. You may stop using the service at any time. A fund manager may end your access to its funds in line with your agreements with it.

10. Disclaimers and liability

[Counsel to draft: disclaimer, limitation of liability, governing law and dispute terms for investors.]
